Live Nation Reaches Settlement With U.S. Justice Department

Live Nation has reached a settlement with the U.S. Department of Justice (DOJ) in a major antitrust case, less than a week after the trial began in federal court in Manhattan, according to multiple reports.

The agreement, expected to be formally announced later today, reportedly requires the live entertainment company — which owns ticketing platform Ticketmaster — to pay around $200 million in damages to participating U.S. states.

Ticketmaster platform to open to rival ticketing companies
The settlement also includes structural changes to Live Nation’s ticketing business. Under the terms of the deal, Ticketmaster will be required to open parts of its platform to rival ticketing companies, allowing third-party providers such as SeatGeek and Eventbrite to list tickets directly using Ticketmaster’s technology.

In addition, the agreement introduces limits on long-term exclusivity contracts between Ticketmaster and venues. Those contracts will be reduced to a maximum of four years, and venues will be allowed to allocate a portion of their ticket inventory to competing ticketing platforms.

The Justice Department and 40 state attorneys general originally filed the lawsuit in May 2024, alleging that Live Nation had built and maintained an illegal monopoly in the U.S. live entertainment sector through its control of ticketing, venues and concert promotion.

A further element of the settlement addresses Live Nation’s position in the amphitheatre market. The DOJ had argued that the company controls roughly 78% of major amphitheatres in the United States. Under the agreement, Live Nation will divest more than 10 amphitheatres, potentially increasing the number of independently operated venues in the market.

Service fee cap introduced
The settlement also places limits on Ticketmaster service fees at Live Nation’s amphitheatres, capping them at 15% of the ticket price.

The case had only recently moved into witness testimony after a 12-person jury was seated last week. The settlement brings the high-profile antitrust trial to an early conclusion before the case could fully play out in court.
